Welcome to Vereaze. Thank you for choosing Vereaze AI Project Manager ("Service" or "Platform"), a cloud-based project management tool. By accessing or using Vereaze’s Service, you ("User", "Customer", "you") agree to comply with and be bound by these Terms & Conditions ("Terms"). Please read these Terms carefully before using Vereaze’s Service.

Acceptance of Terms

By creating an account, accessing, or using the Service, you affirm that you are at least 18 years old and capable of entering into legally binding agreements. If you do not agree to these Terms, you must not use Vereaze’s Service.

Changes to Terms

Vereaze reserves the right to modify or update these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Service following any changes constitutes your acceptance of the updated terms & related links, such as but not limited to Privacy Policy.

Service Description

Vereaze’s Service is a cloud-based project management tool that uses advanced artificial intelligence algorithms to optimize project management and enhance productivity. It provides tools for task management, team collaboration, project tracking, and more.

Your Responsibilities

• Registration: You must provide accurate and complete information during the registration process and maintain the currency of your account information.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and are liable for any activities under your account. Vereaze will not be liable for any losses or damages resulting from your failure to secure your account.
• Ethical Use: Use the Service ethically and legally, adhering to all applicable laws and regulations. Your actions must not harm the integrity or reputation of Vereaze.
• Prohibited Activities: You must not:
  • Use the Service for any fraudulent or illegal activities.
  • Engage in spamming, hacking, or distributing malware.
  • Make false or misleading claims about Vereaze’s Service.
  • Violate the intellectual property rights of Vereaze or third parties.
  • Conduct any activities that could harm the reputation or operation of Vereaze.

Payment Terms

You agree to pay all fees and charges associated with your use of the Service, as outlined on the Vereaze pricing page and/or https://vereaze.com/#pricing. Vereaze reserves the right to change Vereaze pricing and payment terms at any time, and you may be notified of such changes as outlined in the Vereaze Privacy Policy. Your use of the software and content may be subject to a free trial period, subscription fees, or access codes.

If you are using a free trial, your use of the software and content is subject to a monthly subscription fee, which will be automatically charged to your designated payment method at the end of the free trial, unless you cancel your subscription or your access is terminated in accordance with these Terms, including but not limited to non-payment & discontinuation of service.

If you are using an access code, your license to use the software and content is contingent on your continued compliance with the terms and conditions associated with the access code.

Protecting Intellectual Property

• License to Use: Vereaze grants you a limited, non-exclusive, non-transferable license to use Vereaze’s software and content solely for your own use in accordance with these Terms.
• Respecting Vereaze’s Rights: You may not copy, modify, distribute, or create derivative works based on Vereaze's intellectual property without express written consent.
• Keeping Secrets: You must maintain the confidentiality of any proprietary information obtained through the Service.

Copyright Infringement

Vereaze respects the intellectual property rights of others, and expects Vereaze’s users to do the same. Here's what you need to know:

• Vereaze Intellectual Property: The Vereaze company name, logo, and all related intellectual property rights are protected by law. You agree not to misuse Vereaze company name, logo, or other intellectual property to disparage the company or intellectual property, create any derivative works or copies, reverse engineer, decompile, or disassemble Vereaze software or services, or use Vereaze intellectual property in a manner that could be confusing/ misleading to others.
• Reporting Infringement: If you believe that any content on Vereaze system infringes your copyright, please notify Vereaze promptly, and reasonable efforts will be made to investigate and address the issue. You agree to provide Vereaze with sufficient information to identify the allegedly infringing content and to support your claim of copyright infringement.

Keeping Your Data Safe

Vereaze takes data privacy and security seriously, and want to make sure you do too. Here are some guidelines to help Vereaze keep your data safe:

• Data Protection: You must comply with all applicable data privacy laws, including GDPR and CCPA. Implement appropriate measures to protect the personal data you handle.
• Data Collection: Your use of the Service involves the collection and use of certain personal data. The Vereaze Privacy Policy outlines how Vereaze collects, uses, and protects your data.
• Breach Notification: Immediately notify Vereaze of any suspected security breaches. Failure to do so may result in termination of your account.

• Security Measures: You are responsible for maintaining the security of your account and data. This includes using strong passwords, keeping your account information up to date, and being cautious when clicking on links or downloading attachments from unknown sources.
• Vulnerability Reporting: If you discover any vulnerabilities or security issues with the Service, please report them to Vereaze promptly so action can be taken to address them.

Approval & Compliance

Compliance with Laws

You must comply with all relevant laws and regulations, including industry-specific regulations pertinent to your use of the Service.

Disclosure Requirements

Clearly disclose to Vereaze your compliance with applicable laws such as (GDPR & CCPA) and any mandatory reporting, when applicable.

Third-Party Integrations

• Approval: Any third-party integrations, such as API use must be approved by us prior to implementation.
• Compliance: Ensure third-party vendors meet security and compliance standards. Vereaze may disconnect third-party services that fail to comply.

Accessibility

Vereaze is committed to ensuring the Service is accessible to individuals with disabilities. You must ensure your own content complies with accessibility standards.

Contact Vereaze to report any accessibility issues. Vereaze will try to address them as promptly as possible.

AI/User Generated Content

The Vereaze system uses AI-generated content to provide valuable insights and assistance. However, Vereaze do not guarantee the accuracy, completeness, or reliability of such content. You acknowledge that AI-generated content may contain errors, inaccuracies, or biases, and you agree to use such content at your own risk.

• Content Guidelines: You agree not to generate or upload any media that:
  • Infringe the intellectual property rights of others
  • Are illegal, defamatory, hateful/malicious or otherwise very objectionable
• Vereaze reserves the right to remove any pictures that is believed, at Vereaze’s sole discretion, infringe the intellectual property rights of others or are otherwise objectionable.
• AI Bias and Discrimination: Vereaze strives to ensure that Vereaze AI systems are fair, unbiased, and non-discriminatory. However, Vereaze acknowledges that AI systems may perpetuate biases or discriminatory practices. If you believe that Vereaze systems have perpetuated bias or discrimination, please notify Vereaze promptly, and Vereaze will use reasonable efforts to investigate and address the issue. You agree to hold Vereaze harmless for any losses or damages resulting from AI bias or discrimination, except to the extent caused by Vereaze willful misconduct.
• Ownership: The Vereaze system allows users to generate pictures using Vereaze’s third-party AI technology. You acknowledge that any pictures generated through our system are owned by you, and you grant us a non-exclusive, royalty-free license to use, reproduce, and display such pictures for the purpose of providing Vereaze affiliated services.

Vereaze is not responsible for any user or AI generated content, including but not limited to pictures, and Vereaze does not endorse or guarantee the accuracy, integrity, validity, or reliability of such content.

Service Availability, Warranties, and Limitation of Liability

Vereaze strives to provide a seamless and reliable experience for Vereaze users. However, like any technology company, Vereaze may not be perfect and occasional disruptions or issues can occur. Vereaze Service is provided on an "as-is" and "as-available" basis, without any warranties or guarantees of any kind, whether express or implied.

• No Warranties: Vereaze does not make any warranties or representations, express or implied, regarding the accuracy, completeness, or reliability of Vereaze systems or services. You agree to use Vereaze system and services at your own risk.
• Error Reporting and Correction: If you encounter an error or bug, please notify Vereaze promptly, and reasonable efforts will be made to correct the issue. However, Vereaze is not liable for any damages resulting from errors or bugs, except to the extent caused by willful misconduct.
• Limitation of Liability: In no event will Vereaze be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, lost data, or business interruption, arising out of or related to these Terms or your use of Vereaze systems and services. This includes, but is not limited to:
  • System errors or bugs, including but not limited to invoicing, payment errors, AI throttling, AI credit errors, etc.
  • While Vereaze takes no liability in damages related to it’s service, Vereaze may on occasion issue credits when deemed proper at the sole discretion of Vereaze.

Legal Notices

Termination

Vereaze reserves the right to terminate your access for violation of these Terms or any reason, at Vereaze’s discretion, with or without prior notice.

• Termination by You: Please contact Vereaze support team via email for assistance with terminating your account.
• Post-Termination Obligations: Upon termination by Vereaze, you must cease all use of the Service. Any commissions or credits not redeemed before termination may be forfeited. Data associated with your account may be deleted.

Indemnification

You agree to indemnify and hold harmless Vereaze, its affiliates, officers, directors, employees, agents, and successors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Service, or infringement of third-party rights.

Governing Law and Jurisdiction

These Terms will be governed by and construed in accordance with the laws of Vereaze's chosing, without regard to conflicts of law principles. Any disputes arising out of or related to these Terms may first be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, if Vereaze choses to do so.

Dispute Resolution

Vereaze Dispute Resolution: Any disputes arising out of or related to these Terms shall be resolved through binding arbitration per the rules of the American Arbitration Association. The arbitration will be conducted in the jurisdiction where Vereaze choses.

E-sign Dispute Resolution: Vereaze system integrates with e-sign contracts to facilitate your project management needs. However, Vereaze is not a party to any contracts created or managed through Vereaze system. You agree to resolve any disputes related to your e-sign contracts through whatever separate dispute resolution process is specified in the contract or through mediation, as agreed upon by the parties. **REMEMBER: Your Contracts, Your Disputes (E-sign)

Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Vereaze regarding the Service and supersede all prior agreements and understandings.

Changes to Terms (Reminder)

Vereaze reserves the right to modify or update these Terms at any time. Changes will be effective immediately upon posting. If we make any changes to these Terms, Vereaze will try to notify you by email or through a notification on Vereaze’s system. Your continued use of the Service following any changes constitutes your acceptance of the updated Terms, Conditions, Policies, etc. You can opt out of any changes to these Terms by terminating your account and ceasing to use Vereaze systems and services.
